Role Overview

The Senior Director, Corporate Counsel manages 1Password’s Corporate Legal function and provides strategic legal guidance across a wide range of corporate matters. This remote opportunity within the United States and Canada suits an experienced, business-minded lawyer ready to support a high-growth cybersecurity leader.

Key Responsibilities

Lead legal workstreams for mergers and acquisitions, covering due diligence, negotiations, drafting transaction documents, and managing post-closing integration.
Oversee corporate entities, global subsidiary formation, corporate records, and ongoing governance processes.
Advise on legal considerations and regulatory requirements related to international operations and expansion.
Support the Finance team on strategic projects, insurance renewals, tax planning, financial statements, employee equity, and commission plans.
Review marketing materials and provide guidance on applicable compliance standards.
Develop and deliver compliance training programs for employees regarding relevant legal and regulatory topics.
Manage litigation and dispute resolution matters, oversee external counsel, and build case strategies.
Maintain and manage the intellectual property portfolio, including trademarks, copyrights, and patents.
Act as a trusted legal partner to business leaders by balancing pragmatic risk management with company growth needs.

Requirements

Juris Doctor degree with an active bar membership in Canada or the United States.
At least 10 years of relevant professional experience, combining time at a nationally recognized law firm with late-stage private or public company work.
Demonstrated experience leading or supporting mergers and acquisitions, entity management, and international expansion.
Strong expertise in corporate governance, securities laws, and preparing for public company compliance.
Ability to identify legal and business risks, design practical mitigation strategies, and communicate recommendations clearly to senior stakeholders.
Excellent written and verbal communication skills, strong judgment, and meticulous attention to detail.

Salary and Benefits

For USA-based roles, the annual base salary ranges from $269,000 USD to $404,000 USD.
For Canada-based roles, the annual base salary ranges from $234,000 CAD to $351,000 CAD.
