This foundational role suits an experienced corporate attorney ready to build and scale the corporate legal function during a period of rapid company growth.

Role Overview

Snorkel AI is looking for its first Senior Director, Corporate Legal (AGC) to report directly to the General Counsel. In this highly visible position, the chosen candidate will take broad ownership over corporate transactions, equity administration, entity management, international expansion, and corporate governance. The role requires working closely with executive leadership, the Finance team, the People team, and outside counsel to combine sophisticated legal strategy with daily operational execution.

Key Responsibilities

Drive private company financings, M&A activity, strategic investments, secondary transactions, and corporate deals from initial structure to completion.
Assist the General Counsel with board management, including drafting resolutions, preparing meeting materials, tracking governance matters, and handling transaction approvals.
Oversee the legal dimensions of fundraising efforts, investor diligence, and ongoing shareholder relations.
Maintain oversight of company equity plans, cap table integrity, capitalization records, and routine equity transactions such as grants and exercises.
Direct corporate formations, subsidiary management, entity governance, and compliance protocols.
Spearhead legal workstreams related to international expansion, including foreign entity setup and local compliance.
Direct outside corporate counsel to ensure efficient legal spend and high-quality advisory support.
Develop scalable templates, playbooks, approval frameworks, and standardized processes for the expanding legal department.

Requirements

Possess a J.D. degree and maintain active membership in good standing within at least one U.S. jurisdiction.
Minimum of 10 years of relevant corporate legal experience gained through private practice, in-house positions, or a combination of both.
Demonstrated background advising venture-backed enterprises on corporate governance, private financings, and strategic transactions.
Experience blending top-tier law firm training with in-house tenure at a fast-growing technology company.
Comprehensive understanding of U.S. securities and corporate laws impacting private, high-growth businesses.
Proven expertise handling equity compensation, cap tables, subsidiary management, and entity compliance.
Strong track record managing external legal counsel and collaborating with cross-functional teams, executives, and investors.

Nice to Have

Familiarity with equity management tools such as Carta.
Background supporting international expansion initiatives and foreign entity governance.
Exposure to private company secondary transactions and liquidity programs.
Experience creating or scaling corporate legal infrastructure and internal processes.
