Role Overview

Mistral AI seeks an M&A & Equity Financing Legal Counsel to work in Paris under the supervision of the Head of M&A and Finance Legal Counsel. The position requires close cooperation with finance and business groups to structure and negotiate corporate growth deals and capital raising activities.

Key Responsibilities

Handle the drafting, negotiation, and advisory work for global M&A projects, such as acquisitions and acqui-hires.
Manage all phases of corporate transactions from initial structuring and due diligence to final closing.
Oversee equity fundraising procedures, which include investor communications, due diligence organization, and investment document preparation.
Manage secondary sale transactions for employees and investors.
Prepare and negotiate core transaction paperwork including term sheets, non-disclosure agreements, stock purchase agreements, and shareholder contracts.
Partner with internal departments and build standardized legal documentation templates and guidelines.
Assist with corporate compliance and other general legal matters.

Requirements

Hold a bachelor's degree or higher, such as an LLB, LLM, or Juris Doctor, from an accredited institution in France or another European Union country.
Bring a minimum of 4 to 5 years of professional legal background, including at least 3 years spent at an international law firm.
Possess practical experience managing mid-cap to large-cap acquisitions and equity financing or venture capital deals.
Demonstrate professional fluency in both spoken and written English and French.

Nice to Have

Admission to practice law in an additional jurisdiction outside the EU, particularly the United Kingdom or the United States.
Familiarity with venture capital and private equity transaction documents, shareholder agreements, and corporate governance.
Understanding of artificial intelligence concepts, machine learning, natural language processing, and related ethical considerations like bias mitigation and fairness.
