Role Overview

TRM Labs seeks a remote Assistant General Counsel, Commercial to join the legal team in the United States on a full-time basis. This leadership role suits an experienced legal professional who wants to build scalable, AI-assisted legal operations while driving complex commercial agreements for a high-velocity technology company.

Key Responsibilities

Manage, mentor, and develop a growing team of commercial attorneys and legal professionals.
Draft, review, and negotiate complex B2B commercial agreements, focusing on enterprise and government customer deals, master subscription agreements, data licenses, and strategic partnerships.
Navigate international regulatory frameworks, including GDPR, UK data protection laws, and cross-border commercial requirements.
Collaborate closely with Go-To-Market, Product, Engineering, and leadership teams to provide practical legal guidance and support deal velocity.
Build and maintain commercial infrastructure, including contract templates, fallback playbooks, and CLM workflows.
Design and iterate AI-enabled legal workflows to maximize efficiency and focus on high-judgment legal matters.

Requirements

Possess 10 or more years of legal experience combining top-tier law firm practice and in-house roles, ideally within SaaS, fintech, cybersecurity, or crypto/Web3.
Bring significant depth in negotiating complex B2B technology agreements within data and analytics-heavy environments.
Demonstrate strong literacy in AI, data, and privacy matters, with the ability to quickly grasp new regulatory regimes.
Exhibit a builder mindset with experience designing structured systems, workflows, and SLAs using CLM and Salesforce.
Maintain an AI-native working style with demonstrated comfort using generative AI tools for research, drafting, summarization, and workflow design.
Hold a J.D. or international equivalent along with an active bar membership in good standing in at least one U.S. jurisdiction.

Nice to Have

Familiarity with public sector procurement, bank and vendor risk processes, or experience working alongside law enforcement and financial institutions.
