fal is seeking a Senior Counsel, AI Infrastructure to join the team in San Francisco. This full-time role suits an experienced attorney with a background in infrastructure deals ready to lead high-stakes negotiations for a growing generative media ecosystem.

Role Overview

fal is looking for its first dedicated infrastructure lawyer to oversee vital legal operations. In this position, the professional will manage massive compute, data center, and infrastructure contracts worth tens to hundreds of millions of dollars. The successful candidate will transition outside counsel responsibilities in-house, establish scalable playbooks, and serve as the primary legal partner for the infrastructure, data center, and compute teams.

Key Responsibilities

Take ownership of hardware purchase and supply agreements covering servers, GPUs, racks, networking gear, vendor financing terms, risk allocation, delivery, and warranties.
Lead negotiations for GPU capacity contracts involving hyperscalers, traditional cloud providers, and neoclouds, focusing on pricing, commitment structures, delivery schedules, liability caps, SLAs, and credits.
Assist with GPU-related reseller, referral, and partnership agreements, collaborating with commercial counsel on sell-side compute terms.
Collaborate daily with finance, sourcing, site acquisition, and capacity planning teams to ensure legal processes match the speed of infrastructure expansion.
Transition legal work previously handled by outside counsel to internal operations while tightly managing any remaining external firms on cost and turnaround.
Develop negotiation playbooks, templates, and fallback positions for infrastructure deals while refining approval and tracking procedures.

Requirements

Minimum of 5 years of commercial legal experience gained in-house or at a law firm representing infrastructure clients.
Hands-on, recent experience negotiating compute infrastructure contracts, including hardware procurement, data center or colocation, and GPU or cloud capacity.
Deep understanding of essential industry terms, such as take-or-pay structures, capacity commitments, power and real estate provisions, minimum spend, supply risk, service level agreements, and liability limitations.
Ability to manage multiple high-value, time-sensitive negotiations simultaneously within a fast-paced environment.
Strong business judgment that frames risk effectively to help leadership make informed decisions.
Active bar membership in good standing, with California preferred or eligibility to register as in-house counsel.

Nice to Have

Background in energy, power procurement, or real estate.
Familiarity with international supply chains, trade compliance, or export controls.
Prior experience establishing legal functions or playbooks from scratch in a high-growth business environment.
