Role Overview

fal is seeking its inaugural dedicated commercial legal team member to manage all commercial legal functions from the ground up. Operating as an individual contributor, this person will take charge of deal negotiations and establish essential legal frameworks, playbooks, and processes. The position requires working from the San Francisco office five days a week.

Key Responsibilities

Draft and negotiate intricate commercial agreements on both the buy-side and sell-side.
Handle enterprise customer deals, SaaS licensing, API usage, intellectual property, model and content licensing, plus data center, capacity, hyperscaler, and infrastructure partnerships.
Construct the entire commercial legal infrastructure, incorporating custom templates, contracting playbooks, streamlined processes, and contract lifecycle management.
Collaborate closely with the go-to-market, sales, and executive leadership teams to accelerate deal cycles while effectively mitigating organizational risk.
Provide guidance on privacy matters and related legal topics as the enterprise expands.

Requirements

Minimum of 8 years of relevant commercial legal experience.
Background featuring a top-tier law firm combined with in-house practice at a technology, cloud infrastructure, SaaS, or artificial intelligence enterprise.
Demonstrated history of drafting and successfully negotiating complex commercial transactions for both buy-side and sell-side.
Active US bar membership in good standing, with a preference for California or New York, though registered in-house status is acceptable.
Ability to work on-site in San Francisco five days a week.

Nice to Have

Experience working within a model lab, AI startup, or a high-growth company like a Series D stage organization where systems were built from the ground up.
Exposure to infrastructure capacity, data center agreements, procurement, GPU transactions, or model and content licensing.
